1. Acceptance of Terms

By accessing or using TinCat ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

TinCat is operated by TinCat.io. By using the Service, you confirm that you are at least 13 years of age and have the legal capacity to enter into a binding agreement.

2. Description of Service

TinCat is an AI-powered chat bubble platform that enables users to create, customize, and deploy conversational chat interfaces accessible via unique links. The Service is designed for social media sellers, content creators, and small business owners who want to automate customer engagement without building a traditional website.

The Service includes a web-based dashboard for creating and managing chat bubbles, AI-powered chat functionality, analytics, and subscription management tools.

3. Account Registration

To access certain features of the Service, you must create an account. You may register using Manus OAuth authentication. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account.

4. Subscription Plans and Billing

4.1 Available Plans

TinCat offers the following subscription plans:

4.2 Billing and Payments

Paid subscriptions are billed monthly in advance. All payments are processed securely by Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have already paid.

4.4 Refunds

We do not provide refunds for partial months of service or unused portions of your subscription, except as required by applicable law. If you believe you are entitled to a refund, please contact us at [email protected].

4.5 Free Trial and Viral Model

New users receive 7 days of free access. By sharing TinCat on eligible social media platforms (TikTok, Instagram, Twitter/X, or Facebook), you may earn an additional 30 days of free access, for a maximum total of 37 free days. Share tracking is automated and subject to verification.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Distribute spam, malware, or other harmful content through chat bubbles
• Impersonate any person or entity or misrepresent your affiliation
• Engage in fraudulent, deceptive, or misleading practices
• Collect personal information from users without proper consent or disclosure
• Transmit content that is illegal, offensive, defamatory, or violates privacy
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service for any purpose that could damage, disable, or impair TinCat's infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy, without prior notice and without refund.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you create through the Service, including chat bubble configurations, custom prompts, and conversation data. By using the Service, you grant TinCat a limited, non-exclusive license to host, process, and display your content solely for the purpose of providing the Service.

6.2 TinCat's Intellectual Property

The Service, including its design, features, code, and content, is owned by TinCat.io and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

6.3 AI-Generated Content

Chat responses generated by the AI are provided "as is." TinCat does not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are responsible for reviewing and ensuring that AI responses align with your business practices and applicable laws.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

8. Third-Party Services

The Service integrates with third-party services including Stripe (payment processing), OpenAI and Google (AI models), and Manus (authentication and hosting). Your use of these third-party services is subject to their respective terms of service and privacy policies. TinCat is not responsible for the practices of these third parties.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TINCAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TINCAT'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO TINCAT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless TinCat.io and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Brazil.
